Term & Conditions
These Terms & Conditions (“Agreement”) govern the relationship between G2 Electricals (referred to as “Supplier,” “We,” or “Us”) and the customer (referred to as “Buyer,” “You,” or “Customer”) regarding the manufacturing, sale, and purchase of wires and cables, switches & automation, LED lighting, switchgears, and insulation tapes (“Products”). By placing an order with G2 Electricals, you agree to abide by the following terms and conditions:
1. **Orders and Acceptance:**
– All orders are subject to acceptance by G2 Electricals.
– Prices, specifications, and availability of Products are subject to change without notice.
2. **Payment Terms:**
– Payment terms shall be as agreed upon in writing between G2 Electricals and the Buyer.
– Payments should be made in the currency specified on the invoice.
3. **Delivery:**
– Delivery dates are approximate and subject to change based on manufacturing, transportation, and other factors.
– The risk of loss or damage to the Products shall pass to the Buyer upon delivery.
4. **Shipping and Handling:**
– Shipping and handling charges, if applicable, shall be borne by the Buyer.
– Any import duties, taxes, or customs charges are the responsibility of the Buyer.
5. **Quality and Warranty:**
– G2 Electricals warrants that the Products shall conform to the specifications provided at the time of purchase.
– Any claims related to defects or non-conformity must be reported to G2 Electricals within the warranty period specified for each Product category.
6. **Returns and Refunds:**
– Returns for defective Products shall be subject to G2 Electricals’ return policy.
– Refunds, if applicable, will be issued based on the terms of the return policy.
7. **Intellectual Property:**
– G2 Electricals retains all intellectual property rights related to the Products, including designs, trademarks, and copyrights.
8. **Limitation of Liability:**
– G2 Electricals shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Products.
9. **Force Majeure:**
– G2 Electricals shall not be liable for any delay or failure in performance due to events beyond its reasonable control.
10. **Confidentiality:**
– Both parties agree to keep any confidential information exchanged during the course of the business relationship confidential.
11. **Governing Law and Jurisdiction:**
– This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the agreement between the parties.
– Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the specified jurisdiction.
12. **Entire Agreement:**
– This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings.
13. **Amendment and Waiver:**
– This Agreement may only be amended in writing by both parties.
– The failure of either party to enforce any provision of this Agreement shall not be considered a waiver of that provision.
